REDSIREN SIGNS LETTER OF INTENT TO ACQUIRE ATOMICTANGERINE

Combination builds on both companies leadership in information security issues, offering proven expertise to Global 1000, mid-tier companies

PITTSBURGH AND MENLO PARK, Calif., October 15, 2001 RedSiren, a leading provider of outsourced network security solutions, and AtomicTangerine, a global provider of information security consulting services, today announced that the two companies have signed a letter of intent under which RedSiren will acquire AtomicTangerine.

The combined entity, to be called RedSiren Technologies, will expand the industry-leading expertise and global reach of both RedSiren and AtomicTangerine, with resources throughout North America, Europe and the Pacific Rim. The combined client roster includes both Global 1000 and mid-tier companies.

“With the acquisition of AtomicTangerine, RedSiren significantly expands and broadens both its knowledge base and the operational scope of its MSP-based end-to-end security infrastructure management offerings,” said Tim Grieser, Research Director at IDC. “These capabilities are particularly important to current and prospective users in view of heightened concerns over security in the wake of recent events.”

AtomicTangerine is a spin-off of SRI International (formerly known as Stanford Research Institute), a world leader in technology innovation. The company is known for its expertise in designing and deploying comprehensive security solutions for its clients. Its staff includes some of the founding fathers that helped pioneer the information security industry. “By acquiring AtomicTangerine, we will blend the worldwide knowledge of its expert consultants with our extensive staff of business and security professionals,” said Harvey Pollack, RedSiren Technologies President and CEO. “The result will be unparalleled insight and experience in designing and delivering solutions to companies, helping them protect their computer networks and corporate-critical information from unauthorized access, and providing them with a higher level of security.”

“The information security needs of enterprises are more pronounced and more vitally necessary than ever before,” said Karen Worstell, AtomicTangerines President and CEO. “The integration of RedSiren and AtomicTangerine will provide companies with additional thought leadership, a broader range of services, and a proven track record of results.”

Under terms of the agreement, RedSiren will continue the International Information Integrity Institute, known as I-4. The I-4 program was originated by SRI and has, in recent years, been managed and developed by AtomicTangerine. I-4 is the nations most respected thought leadership forum for the discussion of information security issues and concerns among Global 1000 corporations.

“Information security is a multi-faceted problem. This partnership is sure to bring stronger security solutions to RedSirens clients,” said Richard D. Pethia, Director of the CERT Coordination Center. The CERT/CC is a major reporting center for Internet security problems. Staff members provide technical assistance and coordinate responses to security compromises, identify trends in intruder activity, work with other security experts to identify solutions to security problems and disseminate information to the broad community. The CERT/CC also analyzes product vulnerabilities, publishes technical documents, and presents training courses.
RedSiren Technologies mission is to deliver a full range of information security services, meeting the evolving needs of companies throughout the national infrastructure and beyond, ranging from security policy consulting, architecture design and planning to ongoing system monitoring and security monitoring services. The company, based in Pittsburgh, maintains a cooperative research and development agreement with the CERT Coordination Center at Carnegie-Mellon University, and membership in key organizations like the FBIs InfraGard initiative and the Internet Security Alliance.

RedSiren received funding in November 2000 from the Redleaf Group, Inc. Redleaf, a technology operating company, created Redleaf Secure Systems (RSS) to target global and strategic opportunities in the cybersecurity marketplace. RedSiren is a partner company within RSS.

By providing capital, engineering and support services to nurture innovative technologies and young companies that can identify, analyze and react to cyber-security threats, Redleaf Secure Systems is building a family of companies, partnerships, and intellectual property in this high growth arena. “A fundamental strategy within RSS was to accelerate growth through strategic university relationships and business combinations,” said Doug Goodall, Executive Director of Redleaf Secure Systems. “The RedSiren and AtomicTangerine combination is a powerful example of how this strategy can best meet the needs of enterprise CIOs around the world.”

The companies did not disclose the purchase price.
